Restructuration

In times of economic crisis, many companies may suffer from a lack of liquidity, which forces them to reduce as much as possible all kinds of expenses, negotiate moratoriums, apply ERP's as well as obtain external financing. Our mission as lawyers is to prevent our clients from having to file for bankruptcy or liquidation of companies that would have been viable under normal market conditions. We believe that bankruptcy solutions should not be used, but rather solutions that allow for negotiation between the parties, based on agreements with the creditors, with minimal judicial intervention, that enable finding ways to repay the liabilities and to restructure the company to make it viable in the future. 

Among the measures to be analyzed for this purpose we can mention:  

1. Business restructuring: There are different ways to solve economic problems that can save the company, which can be classified into: commercial solutions and bankruptcy solutions.

The first ones refer to: strategies of defense and patrimonial reinforcement; without being exhaustive we can mention:

• Shareholders Contribution to offset losses
• Cancellation of debts with group or associated companies

The second refers to: 

• Refinancing agreements (5 bis LC), 
• Out-of-court settlements (5 bis LC), 
• Declaration of bankruptcy with an anticipated proposal of settlement 
• Declaration of bankruptcy with agreement and even the possible sale of productive units within the framework of the bankruptcy liquidation

1. Debt Refinancing: Our team of experts can intervene in the negotiation of agreements, in the search for new financing with banks or private entities with better conditions, debt exchange, with judicial homologation or with extrajudicial agreement. 

1. Acquisition or Sale of Assets or Business Units: We perform legal due diligence in connection with the purchase or sale of assets or companies.
